Mailime and C3 by Mail Lime Subscription Terms

These terms apply to all Mailime and C3 by Mail Lime Cloud or Self-Hosted licenses. By subscribing or purchasing any Mailime and C3 by Mail Lime service, you and your organization (“Customer”) agree to be bound by this Terms of Service Agreement (“Agreement”). This Agreement becomes effective from the date of your first download or installation of the licensed materials. Continued use of Mailime and C3 by Mail Lime software or licensed materials is an acceptance of the terms of this Agreement.

1. License and Support

1.1 License Grant: Subject to this Agreement, Mailime and C3 by Mail Lime grants Customer a non-exclusive, non-transferable license to either:

  • Install and use the software on Customer’s servers, with an ongoing backend connection to Mailime and C3 by Mail Lime for updates and maintenance. This setup enables monitoring to ensure compliance with WhatsApp and software usage policies.
  • Use the software hosted on Mailime and C3 by Mail Lime’s cloud under a white-label arrangement, branded with Customer’s name and domain. This license includes a one-time setup fee and an annual fee for cloud hosting and support.

1.2 Support Services: Mailime and C3 by Mail Lime will provide support based on the service tier selected by the Customer, as detailed on the official pricing and feature page. Mailime and C3 by Mail Lime’s support includes software updates, bug fixes, and performance enhancements.

2. Usage Restrictions and Responsibilities

  • 2.1 Restrictions: The Licensed Materials provided by Mailime and C3 by Mail Lime may not be shared, redistributed, or used for any purpose outside of internal business operations. You agree not to modify, resell, or sub-license the software except as expressly permitted by this Agreement.
  • 2.2 Compliance: Customers must use the software in full compliance with all applicable laws, including privacy laws, data protection regulations, and intellectual property laws.

3. Payment Terms

3.1 Fees: For the self-hosted version, there is a one-time license fee. For the cloud-hosted version, a one-time setup fee and an annual payment for hosting and maintenance apply.

3.2 Taxes: Customers are responsible for paying any applicable taxes associated with the use of Mailime and C3 by Mail Lime.

4. Confidentiality

Both parties agree to keep all proprietary information confidential. Customer data will be handled in compliance with applicable data protection laws, and any breach in security will be promptly addressed.

5. Term and Termination

This Agreement remains in effect until terminated by either party. Either party may terminate this Agreement if the other party breaches its terms. Upon termination, Customer’s access to the software will cease, and all licenses granted will be revoked.

6. Intellectual Property

Mailime and C3 by Mail Lime retains all rights to the software, including any enhancements or modifications made to it. Customer agrees not to remove any proprietary notices or claim ownership of the software.

7. Limitation of Liability

Neither party shall be liable for any indirect, incidental, or consequential damages. The total liability of either party is limited to the amount paid for the services within the 12 months prior to the claim.

8. Data Privacy

Mailime and C3 by Mail Lime will process all Customer Data in compliance with GDPR and other applicable data protection regulations. Customers are responsible for ensuring that they collect and process personal data in compliance with relevant laws.

9. Miscellaneous

This Agreement is governed by the laws of the country where Mailime and C3 by Mail Lime operates. Any disputes arising from this Agreement will be subject to the jurisdiction of the courts in the relevant region. 

10.Compliance with Meta and WhatsApp API Policies

By using the Mailime and C3 by Mail Lime platform for WhatsApp messaging, you acknowledge and agree to comply with Meta’s WhatsApp Business Platform policies and procedures. This includes, but is not limited to, adherence to the 24-hour messaging window for customer-initiated conversations, the use of pre-approved message templates for business-initiated conversations, and ensuring that all messages are compliant with Meta’s content standards.

We are obligated to follow Meta’s rules regarding message quality ratings, opt-in requirements, and restrictions on sending unsolicited messages. Any violations of Meta’s policies may result in the suspension or termination of WhatsApp API access, and Mailime and C3 by Mail Lime will not be held responsible for any penalties or disruptions resulting from such non-compliance.
